WOOFIX — TERMS OF SERVICE

1 Introduction

These Terms of Service ("Terms") form a legally binding agreement between Woofix ("Woofix," "we," "us," or "our") and you ("you," "your," or the "User") and govern your access to and use of:

  • the Woofix web, desktop, and mobile applications (the "App");
  • our website at https://www.woofix.io/ and any site linking to these Terms (the "Site"); and
  • all features, content, and services delivered through the foregoing (collectively, the "Services").

BY CREATING AN ACCOUNT, CLICKING "SIGN UP," OR ACCESSING OR USING ANY PART OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY (INCORPORATED BY REFERENCE).

If you do not agree, do not access or use the Services.

2 Description of the Services

Woofix is a Software-as-a-Service platform that enables professional pet-grooming businesses ("Professionals") to manage staff, schedules, clients, pets, pricing, online bookings, SMS reminders, and related business operations. Pet owners and other end-customers ("Clients") may use self-service booking features provided by Professionals through Woofix. Woofix does not provide pet-grooming services and is not a party to any agreement for such services between Professionals and Clients.

3 Eligibility & Accounts

  • Age & authority. You must (a) be at least 18 years old and (b) have legal authority to bind the business or yourself.
  • Registration data. You agree to provide accurate, current, and complete information and keep it up-to-date.
  • Account security. You are fully responsible for all activity under your credentials. Notify us immediately of any unauthorised use.
  • Account names. We may reclaim usernames that infringe rights or are otherwise objectionable.
  • No credential sharing. Sharing login details is prohibited.

4 Subscription Terms (Professionals)

Fees are shown at checkout or in any order form ("Order") and are billed monthly in advance, non-refundable except as required by law.

Subscriptions renew automatically until cancelled in-app; cancellation takes effect at the end of the current billing cycle.

Overdue amounts accrue 1.5% interest per month (or the maximum legal rate). We may suspend or terminate your subscription if payment is 14 days late.

You will first notify Woofix of any billing dispute and cooperate in good faith for 30 days before initiating a charge-back.

5 Licence & Acceptable Use

Limited licence

Subject to these Terms and timely payment, Woofix grants you a non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes.

Prohibitions

You shall not:

  • copy, modify, decompile, or reverse-engineer any part of the Services;
  • resell, sublicense, or time-share the Services;
  • build or aid a competing product or service;
  • use the Services for spam or unlawful content;
  • upload malware or scrape data except as allowed by robots.txt.

User Content & Data Usage

You retain all ownership rights in data, files, images, text, and other content you submit to the Services ("User Content"). By uploading or entering User Content, you grant Woofix a perpetual, worldwide, non-exclusive, royalty-free licence—with the right to sublicense to our contracted service providers who act only on our instructions—to:

  • Host, store, back-up, process, transmit, display, and reproduce User Content as necessary to provide, secure, and improve the Services;
  • Analyse User Content and usage patterns to maintain, enhance, and develop new Woofix features;
  • Generate and commercialise aggregated or de-identified statistics or benchmarks (e.g., average appointment duration by breed) provided no individual person or business is identified; and
  • Display your business name, logo, and non-confidential success metrics as a Woofix customer in case studies or marketing materials, unless you opt out at any time by emailing contact@woofix.io.

Woofix will not (a) disclose identifiable User Content to third parties for their own marketing, or (b) sell personal information, without obtaining your explicit consent or providing any legally required opt-out mechanism.

Third-party components

The Services incorporate software from Supabase, Vercel, Stripe, Twilio, and others; your use must comply with their respective policies.

6 Payment Processing & SMS

6-A Payments (Stripe)

Credit-card payments are processed by Stripe. Your use of payment features is subject to the Stripe Services Agreement and related policies.

6-B Transactional-SMS Reminders

Scope

Woofix's SMS feature sends only automated, one-to-one reminders (appointment confirmations, schedule changes, pickup notices). It must not be used for bulk promotions or marketing.

Consent

Professionals must:

  • collect the client's mobile number during booking;
  • inform the client that the number will receive appointment-related texts; and
  • honour any opt-out immediately.

Carrier compliance

SMS is delivered via Twilio; you must comply with Twilio's Messaging & Acceptable-Use Policies. Woofix may throttle, block, or audit traffic if required by carriers or regulators.

Content limits

Reminder texts may include salon name, pet name, date/time, and basic instructions. Promotional language, discount codes, or cross-selling is prohibited.

Indemnity

You will defend and indemnify Woofix for any claim, fine, or carrier fee arising from your misuse of the SMS reminder feature.

7 Service Availability & Support

We target 99.5% monthly uptime but do not guarantee uninterrupted service. Planned maintenance or force-majeure events may cause downtime. Standard support: contact@woofix.io (Mon-Fri 10:00-17:00 EST, excluding Québec public holidays).

8 Intellectual Property

The Services and all related intellectual-property rights are and remain the exclusive property of Woofix and its licensors. Except for the limited licence granted herein, no rights are transferred or implied.

9 Confidentiality & Privacy

Each party must protect the other's confidential information with reasonable care and use it only to perform these Terms. Personal information is handled per the Woofix Privacy Policy.

10 Disclaimers & Limitation of Liability

No warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Liability cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOOFIX'S TOTAL LIABILITY WILL NOT EXCEED THE FEES YOU PAID TO WOOFIX IN THE 12 MONTHS PRECEDING THE CLAIM. WOOFIX WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Essential basis

These limitations are fundamental to our agreement.

12 Termination

DataUpon termination, your access ends and we may delete data after 60 days. Sections 8–17 survive.

16 General

These Terms, any Orders, and the Privacy Policy supersede all prior agreements.

Unenforceable provisions are severed; the rest remain.

Failure to enforce any right is not a waiver of future enforcement.

You may not assign these Terms without consent; Woofix may assign to an affiliate or in a merger/sale.

Neither party is liable for delays due to events beyond reasonable control.

13 Copyright / DMCA Takedown Procedure

If you believe that material on the Services infringes your copyright, send a notice to our Copyright Agent:

Your notice must satisfy 17 U.S.C. §512(c)(3). Woofix may remove the content and terminate repeat infringers. Counter-notices must meet §512(g).

14 Binding Arbitration & Class-Action Waiver

Friendly resolution

Email contact@woofix.io; we'll try to settle any dispute within 30 days.

Agreement to arbitrate

Failing settlement, any dispute arising from these Terms or the Services shall be finally resolved by binding arbitration under the Canadian Arbitration Association (CAA) Commercial Rules.

Seat: Montréal, Québec | Language: English or French (claimant's choice).

Class-action waiver

Arbitration is individual only. You and Woofix waive class, collective, and jury-trial rights.

Opt-out

Email contact@woofix.io within 30 days of first acceptance to opt out; otherwise, you are bound.

Exceptions

Small-claims and IP-injunction actions may proceed in court.

Costs

Woofix pays the CAA filing fee for claims ≤ CAD 10,000 unless the arbitrator finds the claim frivolous. Each party covers its own legal fees.

15 Governing Law & Venue

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Where arbitration is unenforceable or opted out, the courts of Montréal, Québec have exclusive jurisdiction.
